# Terms of Service

> Terms governing access to and use of Leadping products and services, including accounts, communications, billing, acceptable use, and compliance.

These Terms of Service ("**Terms**") govern your access to and use of Leadping LLC's websites, software, applications, APIs, messaging, voice, lead-intake, workflow, automation, billing, support, and related services (collectively, the "**Service**"). By creating an account, clicking an acceptance box, signing an order, submitting leads, connecting an integration, using an API key, or otherwise using the Service, you agree to be bound by these Terms, the [Privacy Policy](https://leadping.ai/docs/privacy-policy), the [Acceptable Use Policy](https://leadping.ai/docs/acceptable-use), and any Order or policy incorporated by reference. If you do not accept every provision, you may not use the Service.

If you use the Service on behalf of a company, agency, client, lead seller, buyer, publisher, affiliate, or other entity, you represent that you have authority to bind that entity. The words "**Customer**," "**you**," and "**your**" include that entity, your administrators and users, and anyone using the Service through your account, credentials, phone numbers, lead sources, integrations, forms, APIs, workflows, or campaigns.

## Definitions

**"A2P" or "10DLC."** Application-to-person messaging and the U.S. long-code messaging ecosystem, including brand registration, campaign registration, vetting, carrier review, throughput limits, content rules, and related registry or provider requirements.

**"Carrier Requirements."** Laws, rules, policies, standards, commercial terms, registration requirements, codes of conduct, filtering practices, acceptable-use rules, and technical restrictions imposed by telecom carriers, messaging providers, voice providers, 10DLC registries, number authorities, payment processors, identity-verification vendors, hosting providers, or other third-party infrastructure providers.

**"Content."** Data, text, voice, audio, video, call recordings, message copy, URLs, files, metadata, lead records, recipient information, campaign descriptions, sample messages, opt-in language, call scripts, workflow configuration, automation rules, integration payloads, or other material transmitted through, processed by, or stored in the Service.

**"Customer Data."** Content provided, uploaded, submitted, received, configured, generated, or made available by or for Customer while using the Service, including leads, contact lists, consent evidence, message history, call records, support requests, API payloads, form submissions, source metadata, and integration data.

**"Lead."** A consumer, prospect, contact, account, recipient, or other person or business record submitted to, created in, contacted through, or processed by the Service.

**"Order."** Any self-service checkout, subscription selection, invoice, quote, order form, statement of work, online purchase flow, or similar document that references these Terms.

**"Service Providers."** Third parties that help Leadping provide the Service, including cloud infrastructure, telecommunications, messaging, voice, number provisioning, 10DLC registration, payment, email, analytics, security, support, and identity-verification providers.

**"Subscription."** The recurring plan, package, add-on, seat, feature, number, usage tier, or other recurring service selected in an Order.

**"Usage Charges."** Fees based on use of the Service, including message segments, calls, phone numbers, carrier or registry charges, pass-through costs, lookups, enrichment, storage, support, setup, vetting, re-verification, overage, wallet, balance, or other metered charges.

## Account; Eligibility; Authority

* **Eligibility.** You must be at least 18 years old and legally capable of forming a binding contract.
* **Accurate Information.** You must provide complete and accurate account, billing, business, registration, website, lead-source, campaign, and contact information and keep it current.
* **Account Security.** You are responsible for all activity under your account, API keys, source credentials, phone numbers, integrations, and user credentials. You must promptly notify Leadping of any unauthorized access, compromised credential, suspicious activity, or security incident involving the Service.
* **Users and Representatives.** You are responsible for your administrators, employees, contractors, agents, affiliates, lead sources, vendors, partners, buyers, sellers, and anyone else who accesses or uses the Service through your account or on your behalf.
* **Service Communications.** You consent to receive operational, transactional, security, billing, registration, compliance, support, and account-related communications from Leadping. These communications are part of the Service.
* **Marketing Communications from Leadping.** Leadping promotional communications are sent only where permitted by law and applicable consent requirements. You may withdraw consent through the provided unsubscribe mechanism.

## Customer Responsibility for Lawful Use

Leadping provides software and workflow infrastructure. Leadping is not your law firm, compliance department, telemarketer of record, lead seller, lead buyer, insurer, carrier, or campaign approver. You are solely responsible for determining whether your leads, lists, calls, texts, emails, workflows, automations, integrations, forms, APIs, partner data, message content, call scripts, use cases, and outreach practices are lawful and permitted.

You represent, warrant, and covenant that:

1. **Lawful Lead Collection.** Each Lead was collected, purchased, received, transferred, stored, and submitted lawfully, with all notices, permissions, disclosures, consents, authorizations, and privacy rights required for your intended use.
2. **Consent.** Before sending any message, placing any call, triggering any automation, uploading any contact list, or instructing Leadping to contact a recipient, you have the consent, relationship, exemption, or other lawful basis required by the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), National Do Not Call Registry rules, state mini-TCPA laws, state telemarketing laws, CAN-SPAM, CTIA Messaging Principles, 10DLC rules, carrier policies, privacy laws, and any other applicable law or requirement.
3. **Content and Campaigns.** You are responsible for message copy, call scripts, sender identity, caller ID use, campaign configuration, workflow logic, automation timing, frequency, routing, opt-in language, opt-out language, sample messages, embedded URLs, phone numbers, disclosures, offers, marketing claims, and all other Content.
4. **Sources, Forms, APIs, and Integrations.** You are responsible for each lead source, form, publisher, affiliate, integration, API client, direct-post path, webhook, partner, data supplier, and connected system, including the accuracy of submitted fields, the security of credentials, and whether the source is approved for the use case.
5. **Suppression and Preferences.** You must maintain and honor recipient opt-outs, revocations, suppression lists, internal do-not-call lists, National Do Not Call requirements, calling-time restrictions, frequency limits, contact-window limits, and any recipient preferences or restrictions.
6. **Records.** You must keep complete records proving consent, source, collection path, disclosures, timestamps, IP addresses, TrustedForm or similar certificates, opt-out events, suppression decisions, campaign approvals, and other compliance evidence for at least four (4) years after the last related contact, or longer if required by law, carrier policy, contract, audit, dispute, or enforcement matter.
7. **No Reliance.** Leadping may provide tools, checks, validation, documentation, templates, suggestions, warnings, or review workflows, but those do not constitute legal advice, do not guarantee compliance, and do not shift responsibility from you to Leadping.

If you operate in a regulated industry or use the Service for healthcare, insurance, financial services, lending, debt, employment, housing, government benefits, political, charitable, age-restricted, emergency, or other high-risk communications, you are responsible for obtaining legal review before using the Service.

## Purchases, Subscriptions, Usage Charges, and Fees

1. **Payment Method.** A valid payment method is required for all paid features. You represent that you are authorized to use the chosen payment method and that all billing information is accurate.
2. **Automatic Renewal.** Subscriptions are billed in advance on the cycle stated in the Order and renew automatically unless cancelled before the end of the then-current term. You authorize Leadping and its payment processor to charge recurring Subscription fees, Usage Charges, pass-through charges, taxes, late fees, and other amounts due.
3. **Non-Refundable Fees.** Except where required by law or expressly stated in an Order, all fees are non-refundable. Mid-cycle cancellations, downgrades, unused features, unused phone numbers, rejected leads, undelivered messages, blocked traffic, registration delays, carrier filtering, service pauses, or account suspension do not create refund rights.
4. **Usage, Overage, and Negative Balances.** If usage exceeds plan limits, included credits, prepaid balances, wallet balances, or other allowances, you authorize Leadping to invoice or charge overage and Usage Charges at then-current rates. If the Service permits a wallet, balance, or prepaid credit, that balance is not a bank account, deposit account, stored-value account, gift card, or trust account; it earns no interest, is non-transferable, may be applied only to eligible Service charges, and is non-refundable except where required by law. Leadping may stop, limit, or suspend usage when a balance is insufficient or payment fails.
5. **Carrier, Registry, Vetting, and Provider Fees.** You are responsible for carrier fees, registry fees, 10DLC brand or campaign fees, campaign vetting, re-verification, number fees, messaging surcharges, voice charges, tolls, lookup charges, provider charges, chargebacks, payment processing fees, pass-through costs, and similar external charges, whether imposed before, during, or after the initial application. These amounts may change without notice and are non-refundable.
6. **Fines, Penalties, and Remediation Costs.** You are solely responsible for fines, penalties, investigation costs, remediation costs, suspension fees, complaint fees, chargebacks, carrier penalties, registry penalties, provider fees, settlement amounts, and other amounts arising from your use of the Service, your traffic, your Content, your lead sources, your integrations, your nonpayment, or your violation of law, Carrier Requirements, or these Terms. Leadping may charge or invoice these amounts to you.
7. **Taxes.** Prices exclude taxes, duties, levies, telecommunications taxes, regulatory recovery fees, universal service charges, 911 fees, and similar assessments unless stated otherwise. You are responsible for all applicable taxes except taxes based on Leadping's net income.
8. **Late Payment.** Past-due amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for reasonable collection costs and attorneys' fees incurred to collect unpaid amounts.
9. **Failed Payments.** If payment fails, Leadping may retry the payment method, invoice you, suspend or limit the Service, disable phone numbers or source credentials, stop automations, reject leads, block traffic, or terminate the account.
10. **Price Changes.** Leadping may change prices, packages, included usage, pass-through charges, or billing methods on at least 30 days' notice for Subscription fees where practicable. Usage Charges, carrier fees, registry fees, taxes, provider charges, and pass-through costs may change without advance notice when imposed by third parties or required by law.
11. **Billing Disputes.** You must notify Leadping of any billing dispute within thirty (30) days after the charge or invoice date. Undisputed amounts remain due while a dispute is reviewed. Failure to dispute within that period waives the dispute to the maximum extent permitted by law.

## Support, Maintenance, Availability, and Changes

Leadping will use commercially reasonable efforts to provide support during normal U.S. business hours and to operate the Service in a manner that minimizes material defects and downtime. No specific uptime service-level agreement is provided unless expressly stated in a separate written agreement signed by Leadping.

The Service may be interrupted, delayed, degraded, throttled, filtered, suspended, unavailable, or changed because of maintenance, updates, abuse prevention, capacity management, security events, provider outages, carrier actions, registration delays, payment issues, legal review, emergency conditions, customer configuration, or events beyond Leadping's reasonable control. Leadping may modify, patch, enhance, remove, discontinue, rename, reprice, or replace features, APIs, integrations, phone numbers, lead-intake paths, workflow functionality, or documentation from time to time.

You are responsible for maintaining backups, exports, copies of Customer Data, and business-continuity plans appropriate for your use case.

## Acceptable Use and Restrictions

You, and anyone acting on your behalf, must not:

* Violate law, Carrier Requirements, payment-network rules, these Terms, the Acceptable Use Policy, or any published Leadping policy.
* Send, initiate, facilitate, or automate unsolicited, unauthorized, misleading, deceptive, fraudulent, abusive, harassing, or unlawful communications.
* Use purchased, rented, scraped, harvested, co-registered, affiliate-generated, recycled, aged, or third-party contact lists unless you can prove valid, specific, unrevoked consent for the exact sender, use case, channel, and message type.
* Upload or process leads collected through deceptive forms, hidden disclosures, prechecked boxes, dark patterns, forced consent, bundled consent, misleading incentives, or incomplete privacy notices.
* Transmit or facilitate prohibited content, including cannabis or controlled-substance marketing, hate speech, harassment, depictions of violence, adult or pornographic material, firearms or explosives, illegal gambling, high-risk financial products, debt relief, phishing, impersonation, malware, illegal goods or services, or any content prohibited by carriers, registries, or Leadping.
* Send messages inconsistent with your registered brand, legal entity, website domain, campaign description, call-to-action, sample messages, opt-in language, embedded links, phone numbers, or approved use case.
* Spoof, falsify, mask, or misrepresent caller ID, sender identity, brand identity, URL ownership, business identity, lead source, consent path, or message purpose.
* Overload, interfere with, probe, scan, attack, disrupt, or attempt to bypass the Service, Leadping controls, provider controls, carrier filters, registration rules, compliance checks, rate limits, security controls, billing controls, or usage limits.
* Reverse engineer, decompile, scrape, copy, resell, white-label, sublicense, benchmark, or functionally replicate the Service except as expressly permitted in writing by Leadping.
* Use the Service for emergency services, crisis response, public safety dispatch, or other time-critical communications where failure, delay, filtering, or non-delivery could cause harm, unless expressly authorized in a separate written agreement signed by Leadping.

## Business Verification, Registration, and Audit Rights

Leadping may request documentation verifying your identity, business status, authority, ownership, website, address, tax ID, beneficial owners, use case, lead sources, forms, consent language, privacy policy, terms, sample messages, opt-in records, opt-out records, suppression lists, call scripts, carrier registrations, campaign approvals, or other compliance information at any time.

You must provide complete and accurate information within the timeframe requested. Leadping may share account, business, campaign, traffic, consent, and usage information with Service Providers, carriers, registries, auditors, regulators, law enforcement, or other parties as needed to provide the Service, investigate abuse, support registration, respond to complaints, comply with law, enforce these Terms, or protect the platform.

Failure to provide information, providing inaccurate information, or failing an audit may result in lead rejection, message blocking, number suspension, throttling, feature removal, account suspension, termination, non-refundable fees, pass-through charges, or other enforcement action.

## Messaging, Calling, 10DLC, and Telecom Dependencies

All messages, calls, and related communications sent through or facilitated by Leadping must comply with applicable law, Carrier Requirements, 10DLC requirements, CTIA Messaging Principles, TCPA, TSR, DNC rules, state telemarketing laws, call-recording laws, privacy laws, and all applicable consent and disclosure requirements.

You acknowledge and agree that:

1. **Consent Before Contact.** You must obtain, document, and maintain any required consent before sending a text, placing a call, leaving a prerecorded or artificial-voice message, using an autodialer where regulated, triggering a workflow, or otherwise contacting a recipient.
2. **Opt-Outs and Revocation.** You must honor opt-outs, STOP requests, DNC requests, revocations of consent, HELP requests, and other recipient preference signals promptly and in accordance with law and Carrier Requirements. A Leadping suppression or opt-out tool does not relieve you of responsibility for suppression across your own systems and vendors.
3. **DNC and Calling Rules.** You are responsible for National Do Not Call, entity-specific do-not-call, state do-not-call, calling-hour, caller-ID, abandonment, prerecorded-message, artificial-voice, call-recording, and telemarketing disclosure requirements.
4. **10DLC and Registration.** U.S. A2P traffic may require brand registration, campaign registration, vetting, re-verification, sample-message review, opt-in review, website review, number assignment, carrier approval, or other provider approval before sending. Approval, timing, number assignment, throughput, deliverability, and continued availability are not guaranteed.
5. **Consistency.** Your legal name, DBA, brand, website, email domain, privacy policy, terms, campaign description, use case, sample messages, opt-in language, lead source, embedded links, and phone numbers must be accurate, consistent, and updated when material facts change.
6. **Filtering and Deliverability.** Carriers, providers, registries, recipients, devices, networks, spam filters, analytics systems, and other third parties may block, filter, delay, throttle, reroute, label, suspend, reject, or fail to deliver messages or calls for reasons outside Leadping's control. Leadping does not guarantee delivery, answer rates, registration approval, carrier treatment, throughput, response rates, lead conversion, revenue, or campaign results.
7. **Number Availability.** Phone numbers, caller IDs, messaging routes, voice routes, throughput, geographic coverage, and provider features are subject to availability and may be changed, reclaimed, blocked, ported, suspended, retired, reassigned, or removed by Leadping or third parties.
8. **Provider Risk.** Leadping may suspend, throttle, block, reject, remove, reroute, or terminate traffic, campaigns, phone numbers, features, integrations, or accounts when Leadping believes there is abuse, nonpayment, security risk, provider risk, legal risk, carrier risk, compliance risk, fraud, spam, high complaint rates, high opt-out rates, high bounce rates, platform harm, inaccurate registration data, or other risk to Leadping, recipients, carriers, providers, or the Service.
9. **No Workarounds.** You must not attempt to evade registration, filtering, throughput limits, complaint controls, opt-out controls, blocked-content rules, number restrictions, or Leadping compliance controls.

## Messaging and Notifications from Leadping

By providing a mobile number, email address, or other contact information to Leadping, you authorize Leadping to send Service-related notices, verification messages, security alerts, support messages, billing notices, registration notices, compliance notices, and other transactional communications. Standard carrier rates may apply. If you provide contact information for another individual, you represent that you have authority and consent to do so.

## Lead Requirements - TrustedForm Certificates

To support compliance-sensitive workflows and consumer privacy, every external lead or lead submitted by an approved source through the Service must include a valid, active [ActiveProspect TrustedForm](https://activeprospect.com/products/trustedform/) certificate URL unless Leadping expressly approves a different intake path in writing. By submitting leads, you represent and warrant that:

1. **Certificate Inclusion.** Each lead record you transmit to Leadping contains a unique TrustedForm certificate URL captured at or near the moment of consumer opt-in.
2. **Certificate Validity.** Certificates are active, accurate, and retrievable when Leadping, a carrier, provider, regulator, court, or other reviewer requests proof of consent. Certificates may expire unless you extend retention; you bear sole responsibility for retaining certificates and related consent evidence beyond the default window.
3. **Proof of Consent.** TrustedForm certificates and related records accurately reflect the page, disclosure, checkbox, signature, call flow, or other affirmative action by which the recipient granted consent to be contacted for the sender, channel, use case, and message type.
4. **No Certificate, No Lead.** Leadping may automatically reject, quarantine, or delete any lead submitted without required consent evidence. Fees for rejected or deleted leads remain payable, and Leadping has no liability for interrupted lead processing, lost opportunities, lost revenue, or downstream workflow effects caused by missing, invalid, expired, or inaccurate certificates.
5. **Audit Cooperation.** You will promptly provide additional consent evidence, screenshots, logs, contracts, source documentation, and explanations requested by Leadping, carriers, providers, regulators, or courts.
6. **Fraud and Quality.** Submitting fraudulent, bot-generated, recycled, non-consented, unverifiable, or misleading leads constitutes a material breach of these Terms.

TrustedForm or any similar consent tool does not guarantee legal compliance, carrier approval, message delivery, call completion, or permission to contact a recipient.

## Content, Customer Data, and Privacy

* **Ownership.** As between the parties, you retain ownership of Customer Data. You grant Leadping a worldwide, non-exclusive, royalty-free license to host, store, transmit, route, display, reproduce, process, analyze, transform, create derivative operational records from, and otherwise use Customer Data as necessary to provide, secure, support, bill, troubleshoot, improve, enforce, and document the Service; comply with law and Carrier Requirements; investigate abuse; and generate aggregated or de-identified statistics.
* **Customer as Responsible Party.** As between you and Leadping, you are responsible for the lawfulness, accuracy, quality, integrity, source, and permitted use of Customer Data, including Personal Information submitted through leads, contact lists, forms, integrations, APIs, workflows, automations, support requests, and connected systems.
* **Privacy Disclosures.** You must provide all privacy notices, consent notices, data-rights notices, SMS disclosures, call-recording notices, and other disclosures required for your collection and use of Customer Data and for Leadping's processing as a Service Provider.
* **No Sale of Mobile Opt-In Data.** Leadping does not sell, rent, or share mobile numbers, SMS opt-in data, or SMS consent status with third parties for their independent marketing or promotional purposes. Leadping may disclose such data to Service Providers as necessary to deliver, route, support, secure, audit, or document requested communications, or as required by law or platform protection needs.
* **Security.** Leadping uses commercially reasonable safeguards designed to protect Customer Data, but no system is 100% secure. You are responsible for secure configuration, credential protection, least-privilege access, local backups, endpoint security, and safe handling of exports.
* **Retention and Deletion.** Customer Data may be deleted after account closure, delinquency, inactivity, or termination, subject to Leadping's retention practices. Leadping may retain billing records, support records, security records, consent records, suppression records, message metadata, call metadata, audit records, and other information as needed for legal, tax, security, fraud-prevention, carrier, provider, dispute, or compliance purposes.
* **Exports.** You should export Customer Data before cancelling or terminating the Service. Leadping has no obligation to retain or restore Customer Data after termination except as required by law or expressly agreed in writing.

## Third-Party Services and Integrations

The Service may interoperate with Third-Party Services such as telecom carriers, messaging providers, voice providers, 10DLC registries, number providers, hosting platforms, payment processors, analytics providers, email providers, enrichment vendors, identity-verification providers, lead sources, CRMs, form providers, marketplaces, APIs, webhooks, and customer-selected integrations.

Leadping does not control and is not responsible for Third-Party Services, their terms, fees, security, availability, decisions, data processing, errors, delays, filtering, outages, suspensions, approvals, rejections, deliverability, or changes. Your use of any Third-Party Service may be subject to that provider's terms and privacy practices. If a Third-Party Service becomes unavailable, changes its terms, rejects your use case, imposes fees, suspends traffic, blocks numbers, or degrades, related features of the Service may cease or degrade without liability to Leadping.

## Intellectual Property; Feedback

* **Leadping IP.** The Service, including software, workflows, interfaces, documentation, templates, data models, APIs, designs, trademarks, logos, know-how, and other technology, is and remains the exclusive property of Leadping and its licensors.
* **Limited License.** Subject to these Terms and payment of all fees, Leadping grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
* **Feedback License.** If you provide suggestions, ideas, requests, or feedback, you grant Leadping a perpetual, irrevocable, sublicensable, transferable, royalty-free, worldwide license to use, modify, commercialize, and incorporate that feedback without restriction or compensation.

## Term; Suspension; Termination

These Terms remain effective until terminated. Either party may terminate for convenience by closing the account or providing written notice, subject to any committed Subscription term or Order. Fees already paid are non-refundable, and you remain liable for all unpaid amounts, Usage Charges, pass-through charges, taxes, fines, penalties, remediation costs, and other amounts accrued before or after termination that relate to your use of the Service.

Leadping may immediately suspend, throttle, block, reject, remove, disable, quarantine, or terminate any lead, message, call, workflow, automation, campaign, phone number, API key, source credential, integration, feature, account, or use of the Service, with or without notice, if Leadping believes that:

* you failed to pay amounts due or payment risk exists;
* you violated these Terms, the Acceptable Use Policy, law, Carrier Requirements, or provider terms;
* your traffic, Content, leads, sources, lists, workflows, automations, or integrations create abuse, fraud, spam, phishing, security, privacy, platform, carrier, provider, recipient, legal, reputational, or compliance risk;
* your account has high complaints, high opt-outs, disputed consent, invalid leads, suspicious traffic, chargebacks, suspicious payment activity, inaccurate registration data, or failed audit responses;
* carriers, providers, registries, payment processors, law enforcement, regulators, or other third parties request or require action;
* your use threatens the security, integrity, availability, deliverability, reputation, or lawful operation of Leadping or its providers; or
* suspension or termination is needed to comply with law, mitigate harm, or protect Leadping, recipients, providers, carriers, or other customers.

Leadping is not liable for losses, refunds, credits, chargebacks, lost leads, lost revenue, lost opportunities, or other damages resulting from enforcement actions permitted by these Terms. Upon termination, you must cease all use of the Service and return or destroy Leadping confidential information. Sections that by their nature should survive will survive, including payment obligations, Customer responsibility, acceptable use, audit rights, privacy and data provisions, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and miscellaneous terms.

## Indemnification

**By Customer.** You will defend, indemnify, and hold harmless Leadping, its affiliates, officers, directors, employees, contractors, licensors, and Service Providers from and against any claims, demands, investigations, complaints, subpoenas, audits, damages, losses, liabilities, fines, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

* Customer Data, Content, leads, contact lists, message copy, call scripts, workflows, automations, integrations, APIs, forms, source credentials, or campaign configuration;
* your lead collection, lead purchase, lead sale, lead transfer, consent practices, privacy practices, opt-out handling, suppression practices, DNC compliance, calling practices, texting practices, marketing practices, or regulated-industry obligations;
* alleged or actual violation of TCPA, TSR, DNC rules, CAN-SPAM, CTIA rules, 10DLC requirements, Carrier Requirements, privacy laws, telemarketing laws, call-recording laws, consumer-protection laws, or other applicable law;
* your use of purchased, rented, scraped, non-consented, affiliate-generated, unverifiable, or otherwise improper leads or lists;
* your violation of these Terms, the Acceptable Use Policy, an Order, or third-party terms;
* your negligence, willful misconduct, fraud, misrepresentation, security failure, credential compromise, or unauthorized use of the Service; or
* fines, penalties, suspensions, filtering, blocking, or other actions imposed by carriers, registries, providers, regulators, or recipients because of your use.

**By Leadping.** Leadping will defend and indemnify you from a third-party claim alleging that the unmodified Service, when used as authorized by these Terms, infringes a U.S. patent, trademark, or copyright. Leadping has no obligation for claims arising from Customer Data, Content, instructions, modifications, combinations with non-Leadping products, third-party services, open-source components, beta features, unsupported use, use after notice to stop, or your violation of these Terms. Leadping may modify the Service, obtain rights, replace the affected feature, or terminate the affected Service with a pro-rata refund of prepaid Subscription fees for the unused remainder of the affected term.

The indemnified party must provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, except that failure to provide prompt notice relieves the indemnifying party only to the extent prejudiced. The indemnifying party may not settle a claim in a way that admits fault by, imposes non-monetary obligations on, or restricts the indemnified party without written consent.

## Disclaimer of Warranty; No Guarantees

Except to the extent prohibited by applicable law, the Service is provided "**AS IS**" and "**AS AVAILABLE**." Leadping disclaims all warranties and representations, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, error-free operation, uninterrupted operation, deliverability, compliance, and suitability for regulated use.

Leadping does not guarantee legal compliance, TCPA compliance, TSR compliance, DNC compliance, 10DLC approval, carrier approval, number availability, throughput, deliverability, answer rates, response rates, lead validity, lead quality, consent sufficiency, suppression accuracy, fraud prevention, absence of filtering, campaign results, revenue, conversion, or any particular business outcome. Documentation, support, templates, checks, validation, monitoring, review, warnings, or recommendations are informational and do not create any warranty or legal advice.

Beta, preview, experimental, trial, pilot, or early-access features may be incomplete, changed, suspended, discontinued, rate-limited, unsupported, inaccurate, or unavailable and are provided without warranties, service levels, credits, or indemnity unless expressly stated in writing.

## Limitation of Liability

Except to the extent prohibited by applicable law, Leadping's total liability for all claims arising out of or related to the Service, these Terms, any Order, or any related relationship will not exceed the amounts you paid to Leadping for the affected Service in the twelve (12) months preceding the event giving rise to liability. Multiple claims do not enlarge this cap.

In no event will Leadping be liable for indirect, special, incidental, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; lost business; lost goodwill; lost data; lost leads; lost opportunities; loss of use; business interruption; substitute services; carrier filtering; message non-delivery; call failure; registration delay; provider outage; third-party actions; or customer-side compliance failures, even if Leadping has been advised of the possibility of such damages.

The limitations in this section apply regardless of legal theory, whether contract, tort, negligence, strict liability, statute, or otherwise, and are a fundamental basis of the bargain. Claims must be brought within one (1) year after the event giving rise to the claim, unless a shorter period is allowed by law or a longer period is required by law.

## Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, excluding conflicts-of-law rules. Any dispute arising out of or related to these Terms, the Service, or any Order must be resolved exclusively in the state or federal courts located in Minnesota, and the parties submit to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, the parties will attempt in good faith to resolve the dispute informally by written notice to the other party, except for claims involving nonpayment, misuse of the Service, intellectual property, confidentiality, emergency relief, abuse, fraud, or platform security.

## Changes

Leadping may modify the Service, documentation, policies, fees, and these Terms from time to time. Material changes to these Terms will be posted on the website or sent by email where practicable. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the Service.

## Miscellaneous

* **Order of Precedence.** If an Order conflicts with these Terms, the Order controls only for the specific conflict. If the Business Associate Agreement conflicts with these Terms, the Business Associate Agreement controls only with respect to PHI. Policies incorporated by reference apply in addition to these Terms.
* **Fair Use and Plan Limits.** Leadping may apply fair-usage thresholds and impose additional charges, usage limits, rate limits, throttling, blocking, suspension, or termination for excessive, abusive, risky, or harmful usage.
* **Resale Restrictions.** You may not resell, white-label, sublicense, broker, make available, or exploit the Service for third parties except as expressly permitted in writing by Leadping.
* **Assignment.** You may not assign these Terms without Leadping's written consent. Leadping may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, or change of control.
* **Severability and Waiver.** If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. A waiver of any breach is not a waiver of any other breach.
* **Force Majeure.** Leadping is not liable for delay, failure, interruption, or degradation caused by events beyond reasonable control, including carrier actions, provider outages, labor disputes, internet failures, cyberattacks, law or regulatory changes, government action, natural disasters, war, terrorism, civil unrest, or emergency conditions.
* **No Third-Party Beneficiaries.** These Terms do not create rights for any third party except Leadping affiliates, licensors, and Service Providers entitled to indemnity or liability protections.
* **Independent Contractors.** The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary, employment, franchise, or exclusive relationship.
* **Export and Sanctions.** You must comply with applicable export-control and sanctions laws and may not use the Service where prohibited.
* **Logo Usage.** Unless you notify Leadping in writing, you grant Leadping the right to display your name and logo as a customer reference.
* **Entire Agreement.** These Terms, Orders, and incorporated policies are the entire agreement between the parties regarding the Service and supersede prior or contemporaneous agreements on that subject.
